UpQueue Terms of Service and Licence Terms

Version 2026-10-15 · 15 October 2026

These Terms of Service and Licence Terms ("Terms") govern your use of UpQueue, the UpQueue product pages on https://endlesscut.net, and the licence granted to you to use the UpQueue Windows application ("Software").

UpQueue is supplied by:

Operator: Viktoriya Lisitsa
Status: Australian sole trader
ABN: 71488618836
Product: UpQueue
Product website: https://endlesscut.net/en/upqueue
Legal and privacy contact: Viktoriya.Lisitsa@outlook.com

These Terms work together with the UpQueue Privacy Policy, the main Terms of Service, the Privacy Policy, the Payment, Cancellation and Refund Policy, and the Cookies Policy.

1. The service

1.1. UpQueue is Windows desktop software that helps you manage a local upload queue and publish videos to YouTube channels that you connect.

1.2. The website provides product information, account access, licence purchase where enabled, licence management, and downloads. It does not host your video files for publishing to YouTube.

1.3. YouTube and Google are separate services. By using UpQueue's YouTube-related features, you agree to be bound by the YouTube Terms of Service. Your use of Google and YouTube services is also subject to applicable Google policies, including Google’s API Services User Data Policy.

1.4. UpQueue is not affiliated with, endorsed by, or operated by Google or YouTube.

2. Eligibility and account

2.1. You must be legally able to enter into a binding contract in your jurisdiction.

2.2. A website account may be required to buy, activate, renew, or manage a licence. You are responsible for keeping your account credentials secure.

2.3. One website account may hold more than one licence. Each licence code has its own product coverage, expiry date, renewal status, and device binding.

3. Licence and access

3.1. Subject to payment of the applicable fee and compliance with these Terms, you receive a limited, non-exclusive, non-transferable licence to install and use UpQueue for its intended purpose on one Windows computer per licence code during the paid access period.

3.2. For the standard offers available on the date of these Terms, the paid licence period is 30 days, unless the applicable product page or checkout clearly states a different period before payment.

3.3. A standalone UpQueue purchase provides one UpQueue licence code for use on one Windows computer for the paid access period. It does not include EndlessCut.

3.4. A standalone EndlessCut purchase is a separate licence with a separate licence code, expiry date, renewal status, and device binding. A standalone EndlessCut licence does not include UpQueue.

3.5. If you purchase EndlessCut and UpQueue separately, you receive two independent licences and two independent licence codes. Separate licences do not merge automatically.

3.6. If you purchase the EndlessCut + UpQueue Bundle, the Bundle provides one licence code covering both applications, with one access period and one device binding for one Windows computer.

3.7. Your website account may hold multiple licence codes. Each code has its own product coverage, expiry date, renewal status, and device binding.

3.8. Renewal extends only the licence code selected for renewal. Renewal does not renew other licence codes, merge separate licences, or convert separate licences into the Bundle.

3.9. The Software activates and validates the licence online and may bind the licence to the authorised Windows computer using a hashed device identifier. Limited offline use may be available after successful online validation, as implemented in the Software.

3.10. The Software is licensed, not sold. All intellectual property rights in the Software, branding, documentation, and related materials remain with Viktoriya Lisitsa and applicable licensors. These Terms do not transfer ownership of the Software or any intellectual property rights to you.

4. Your content and YouTube

4.1. You remain responsible for the videos, metadata, channel settings, scheduling instructions, and other content you queue or upload using UpQueue.

4.2. You must have all rights, permissions, and licences required to upload and publish the content you send to YouTube.

4.3. You must comply with applicable law, copyright rules, YouTube policies, YouTube Community Guidelines, and other rules that apply to your YouTube account and content.

4.4. We do not control YouTube’s moderation decisions, copyright claims, strikes, restrictions, channel actions, API availability, upload processing, or service availability.

4.5. You are responsible for reviewing the final video, title, description, tags, privacy setting, schedule, target channel, and other publishing settings before upload.

5. Acceptable use and licence restrictions

Except where applicable law expressly permits otherwise, you must not:

  • use UpQueue to upload unlawful, infringing, fraudulent, abusive, or harmful content;
  • use UpQueue to violate third-party rights;
  • copy, sell, rent, lease, sublicense, distribute, or commercially transfer the Software or licence code;
  • share activation codes with unauthorised users;
  • bypass, disable, interfere with, or circumvent licence validation, activation, expiry checks, or device binding;
  • remove copyright, proprietary, or licence notices;
  • reverse engineer, decompile, or disassemble the Software except to the extent such restriction cannot lawfully apply;
  • attack, overload, disrupt, or attempt unauthorised access to our website, application, licence service, or security controls;
  • misuse Google or YouTube APIs or attempt to exceed, bypass, or evade applicable API quotas or restrictions;
  • use the service in a way that violates the YouTube Terms of Service, Google policies, or Google’s API Services User Data Policy.

6. Purchases on the website

6.1. Standard English / international prices on the date of this version are:

  • UpQueue: US$49.90 for 30 days;
  • EndlessCut: US$49.90 for 30 days;
  • EndlessCut + UpQueue Bundle: US$85.90 for 30 days.

Each licence is for one Windows computer unless the applicable checkout clearly states otherwise.

6.2. The amount payable is the price shown on the applicable product page and confirmed immediately before you authorise payment.

6.3. These offers are one-time payments for a fixed access period. They are not recurring subscriptions and do not renew automatically unless a future checkout flow clearly discloses recurring billing and you expressly agree to it.

6.4. Payment processing is performed by the payment provider shown at checkout. International card payments may use Stripe when enabled. We do not store full payment card numbers on our servers.

6.5. Refund, cancellation, access, and remedy rules for English checkout are set out in the Payment, Cancellation and Refund Policy and the main Terms of Service. These UpQueue Terms supplement those documents.

6.6. A refund or other remedy relates to the specific purchased offer. Separate purchases of EndlessCut and UpQueue are treated independently. The Bundle is one purchased offer and is not automatically split into separate refundable components unless required by applicable law or expressly agreed by us in writing.

7. Updates and technical dependencies

7.1. We may provide updates, patches, or new builds of the Software. The application can check an update manifest hosted at https://endlesscut.net/updates/upqueue/ for the applicable release channel.

7.2. Updates may be required for security, licence verification, Windows compatibility, Google or YouTube API changes, or continued operation of supported features.

7.3. UpQueue depends in part on third-party systems, including Google and YouTube. Those services may change, restrict, suspend, deprecate, or discontinue APIs or features outside our control.

7.4. We may need to modify or discontinue affected UpQueue functionality where required by third-party platform changes, security requirements, law, or technical necessity.

7.5. An update does not automatically create a new paid licence period unless the applicable offer expressly states otherwise.

8. Support

8.1. Support contact details are provided on the product website and in these Terms.

8.2. We do not guarantee uninterrupted access to Google, YouTube, internet services, or third-party APIs, and we do not control whether YouTube accepts, processes, restricts, removes, or monetises particular uploads.

8.3. Support does not include an obligation to restore third-party accounts, reverse third-party moderation decisions, or guarantee YouTube channel outcomes.

9. Disclaimer, consumer guarantees and liability

9.1. UpQueue and the website are provided subject to applicable consumer guarantees and other rights that cannot lawfully be excluded. Upload success may depend on your computer, internet connection, file condition, settings, Google / YouTube availability, API restrictions, quotas, authentication status, and third-party services.

9.2. Nothing in these Terms excludes, restricts, or modifies any right, guarantee, warranty, condition, remedy, or liability that cannot lawfully be excluded or limited, including non-excludable rights under the Australian Consumer Law where it applies.

9.3. Where the Australian Consumer Law or another applicable law provides you with a remedy that cannot lawfully be excluded or limited, that remedy remains available to you.

9.4. To the maximum extent permitted by law, we are not responsible for losses caused solely by matters outside our reasonable control, including Google or YouTube outages, API restrictions, moderation decisions, copyright claims, account suspensions, user configuration errors, network failures, or failures of third-party services.

9.5. Subject to section 9.2 and to the maximum extent permitted by applicable law, we exclude liability for loss of anticipated profits, business opportunities, revenue, or similar commercial losses arising from circumstances outside our reasonable control.

9.6. Any exclusion or limitation of liability in these Terms applies only to the extent permitted by law and does not limit liability that cannot lawfully be excluded or limited.

10. Suspension and termination

10.1. We may suspend or terminate access to website account functions or licence services, or suspend or terminate a licence, where reasonably necessary because of a material breach of these Terms, fraud, abuse, security risk, unlawful use, or deliberate circumvention of licence controls, subject to applicable law.

10.2. You may stop using UpQueue and uninstall the Software at any time.

10.3. A paid licence ends when its paid access period expires unless that specific licence code is renewed.

10.4. Expiry, suspension, or termination of one licence does not automatically affect another independent licence held in the same account unless the reason applies to both or the licences form one Bundle.

10.5. When a licence ends, you must stop using the Software under that licence.

10.6. Uninstalling the application does not itself revoke Google access. Procedures for Disconnect channel, local token removal, and revoking Google access are described in the UpQueue Privacy Policy.

11. Governing law

11.1. These Terms are governed by the laws of Australia, subject to any mandatory consumer protection or other laws that apply and cannot lawfully be excluded by agreement.

12. Changes to these Terms

12.1. We may update these Terms when required by changes to the product, law, security requirements, payment arrangements, licence systems, Google / YouTube requirements, or other relevant circumstances.

12.2. The current version date will be shown on this page. Material changes will be published on the website.

12.3. Changes do not remove rights that have already accrued to you under applicable law.
